1. Acceptance of Terms

By accessing, browsing, or using AdReels ("Service," "Platform," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Service. These Terms constitute a legally binding agreement between you and AdReels. We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Service following any changes constitutes acceptance of the modified Terms.

2. Description of Service

AdReels is an AI-powered video generation platform that enables users to create synthetic video content using artificial intelligence technology, including AI-generated avatars, voice synthesis, and automated video production. The Service is provided on a credit-based system where users purchase credits to generate video content.

3. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that:

  • You have the legal capacity to enter into a binding agreement
  • You are not prohibited from using the Service under any applicable law
  • You will not use the Service if you have been previously banned or removed
  • Your use complies with all applicable local, state, national, and international laws

4. User Accounts and Security

To access certain features, you must create an account. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate, current, and complete registration information
  • Updating your information to maintain its accuracy
  • Immediately notifying us of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity, without refund of any credits or payments.

5. Credits, Payments, and Refund Policy

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE.

By purchasing credits, you acknowledge and agree that:

  • Credits are non-refundable, non-transferable, and have no cash value
  • Unused credits expire 12 months from the date of purchase
  • Credits cannot be exchanged, sold, or transferred to other accounts
  • We reserve the right to modify credit pricing at any time
  • Failed video generations due to user error do not qualify for credit refunds
  • Subscription cancellations do not entitle you to refunds of unused credits

Refunds may only be issued at our sole discretion in cases of verified technical failures on our end that prevent service delivery. Chargebacks or payment disputes filed fraudulently will result in immediate account termination and potential legal action.

6. AI-Generated Content and Intellectual Property

Our Intellectual Property

The Service, including all AI models, algorithms, software, designs, logos, trademarks, and underlying technology, is the exclusive property of AdReels and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on our technology.

AI-Generated Content

Content generated using our Service ("Generated Content") is created using AI technology. You acknowledge that:

  • Generated Content may not be eligible for copyright protection in all jurisdictions
  • We make no guarantees regarding the originality or uniqueness of Generated Content
  • Similar content may be generated for other users using similar inputs
  • You are solely responsible for verifying Generated Content does not infringe third-party rights

License Grant

Subject to your compliance with these Terms and valid credit usage, we grant you a limited, non-exclusive, worldwide license to use Generated Content for personal or commercial purposes. This license is revocable upon violation of these Terms.

Content License to Us

By using the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and display any content you submit (including scripts, prompts, and Generated Content) for purposes of operating, improving, and promoting the Service, including AI model training and development.

7. Acceptable Use Policy

You agree NOT to use the Service to create, distribute, or promote content that:

  • Is illegal, fraudulent, defamatory, obscene, or harmful
  • Infringes any third-party intellectual property, privacy, or publicity rights
  • Impersonates real individuals without their explicit written consent
  • Creates deepfakes or synthetic media intended to deceive or defraud
  • Constitutes harassment, hate speech, or discrimination
  • Contains sexually explicit material involving minors or non-consenting adults
  • Promotes violence, terrorism, or illegal activities
  • Spreads misinformation or disinformation
  • Violates any applicable laws, regulations, or third-party rights
  • Competes with or reverse-engineers our Service
  • Attempts to bypass usage limits, manipulate credits, or exploit the system

Violation of this Acceptable Use Policy will result in immediate account termination without refund, and may be reported to law enforcement authorities.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the Service will be uninterrupted, error-free, secure, or virus-free
  • That Generated Content will meet your requirements or expectations
  • That Generated Content will be accurate, reliable, or free from errors
  • That defects will be corrected or that the Service will improve
  • Any warranty regarding the quality, accuracy, or reliability of AI-generated outputs

AI technology is inherently unpredictable. We do not guarantee specific results, and Generated Content may contain errors, inaccuracies, or unintended outputs. You use the Service and Generated Content at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADREELS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Reputational damage or loss of goodwill
  • Cost of substitute services
  • Any damages arising from Generated Content
  • Unauthorized access to or alteration of your data
  • Third-party claims arising from your use of Generated Content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS LESS.

10. Indemnification

You agree to defend, indemnify, and hold harmless AdReels, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees) arising from:

  • Your use of the Service or Generated Content
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit or create using the Service
  • Any claim that your use of Generated Content caused damage to a third party
  • Your negligence or willful misconduct

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Violation of the Acceptable Use Policy
  • Fraudulent or illegal activity
  • Non-payment or payment disputes
  • At our sole discretion for any or no reason

Upon termination, your right to use the Service ceases immediately. You will not be entitled to any refund of credits or payments. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court. You agree to waive your right to a jury trial and to participate in class action lawsuits.

The arbitration shall be conducted in accordance with the rules of a mutually agreed arbitration provider. The decision of the arbitrator shall be final and binding. Each party shall bear their own costs and attorney's fees unless the arbitrator determines otherwise.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware. You consent to the jurisdiction of such courts and waive any objection to venue.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AdReels regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

16. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.
